GENERAL PROVISIONS

1. Scope

These Terms & Conditions ("T&C") govern all of our commercial relationships with our clients.

We carry out several activities:

  • Section A: Sale of software licenses for digital products
  • Section B: Custom service offerings (development, study, consulting, managed hosting, maintenance)

Each product or service is clearly identified when ordering. The applicable conditions are those corresponding to the type of service.

3. Client Status and Acceptance of T&C

By placing an order or accepting a quote, the client fully accepts these T&C.

These T&C apply to all transactions, unless special conditions apply (quote signed for custom services), in which case the special conditions prevail in case of conflict.

4. Applicable Law and Jurisdiction

These T&C are governed by French law.
Any dispute shall be subject to the jurisdiction of the competent courts of the defendant's domicile.

5. Modification of T&C

We reserve the right to modify these T&C at any time.

  • Changes apply to future orders
  • A client who subscribed under a given version of the T&C remains governed by that version for the entire duration of their license. Subsequent modifications apply only to new orders placed after the effective date of the new version. The applicable version is stated on the invoice issued to the client.

SECTION A — SOFTWARE LICENSES

Sale of digital licenses to unlock software features

A.1 — Purpose

This section governs the sale of digital licenses for software products. Each product is available in a free edition (Free) providing core features, as well as one or more paid editions (Pro) unlocking advanced features.

Example: Mosaic Pro is a license that unlocks the complete administration panel of the Mosaic plugin.

A.2 — Plans and Pricing

Several license plans are offered. Their prices, durations, and specific conditions are set out on the product page at the time of purchase. The applicable price is the one displayed when the payment is confirmed, and is stated on the invoice issued to the client.

  • Fixed-term licenses: access to updates for the duration of the plan, renewable.
  • Perpetual licenses: one-time payment, access to updates with no time limit.

Each license is attached to one domain. A different domain requires a separate license. VAT not applicable: As a sole proprietorship, no VAT is charged (article 293B of the French Tax Code).

A.3 — Payment Terms

Payments are processed via two third-party providers:

  • Stripe — Payment by bank card
  • PayPal — Payment via PayPal account or bank card

When ordering, you provide your Piwigo domain. This will be used to generate and secure your license key. No sensitive data (bank card, banking details) is stored on our servers.

A.4 — License Delivery

After approved payment, a unique license key is generated automatically within 1 to 5 minutes. The key is sent by email to the address provided during payment.

The key is in the format MOSAIC-[HASH]-[VERSION]-[NONCE]-[CHECKSUM] (example for Mosaic Pro). This key is linked to your Piwigo domain and is required to activate the license in the plugin.

A.5 — Commercial Warranty and Refund

Digital content (software license) is delivered immediately upon payment confirmation. In accordance with article 16 of Directive 2011/83/EU, the statutory 14-day right of withdrawal does not apply to digital content supplied immediately with the consumer's express consent. In lieu thereof, the vendor offers a commercial warranty whose conditions are set out below.

At the time of payment, the client expressly acknowledges, via a dedicated checkbox, having read and understood this commercial warranty — including its conditions of non-consumption of the product — and waiving the statutory right of withdrawal in exchange for said warranty.

  • Immediate delivery: the license key is generated within 1 to 5 minutes following payment confirmation. The download link for the installation file is included in the confirmation email; its use is left to the client's initiative.

A.5.1 — Commercial Warranty Terms

The vendor grants a satisfaction-based commercial warranty whose duration is specified on the product page at the time of purchase. This duration is at least 14 days from the date of purchase.

  1. The warranty allows the client to reverse their purchase decision and obtain a refund, with no justification required as to the reason, subject to the conditions set out in article A.5.2. Evaluation of the product remains possible at any time via the free edition, which provides full access to the core features.
  2. This warranty replaces the statutory right of withdrawal which the client has expressly waived at the time of payment.

The effective warranty duration applicable to each plan is that displayed on the product page at the time of the order, and referenced on the invoice issued to the client.

A.5.2 — Refund Procedure

To activate the warranty and obtain a refund, the client submits their request within the applicable warranty period:

  • Via the contact form (subject: "Refund request") including their invoice number.
  • The refund is processed via the same payment method used for the purchase, within 14 days of the request.

The refund is granted provided that no effective consumption of the software has taken place prior to the request. The warranty applies only if no download of the installation file and no activation or verification of the license key have been recorded on the server. Any such interaction — triggered by using the download link included in the confirmation email, or by entering the key in the plugin — constitutes definitive acceptance of the product and forfeits the benefit of the commercial warranty.

This condition is intended to protect the vendor against abusive use consisting of downloading the software and then claiming a full refund. It is consistent with standard practice in the digital software licensing market. Usage counters (download, activation) are recorded on the license server and may be shared with the client upon request.

A.6 — Limitation of Liability

Licenses are provided "as is". In case of:

  • Misuse of the license key
  • Incompatibility with your Piwigo version
  • Validation/server issues (remote)

Our liability is limited to refund of the license. We disclaim all liability for:

  • Indirect damages (data loss, business interruption)
  • Configuration or installation defects
  • Third-party modifications to your Piwigo

A.7 — License Duration

  • Fixed-term license: The license expires at the end of the subscribed period, as indicated on the product page and on the invoice. It is renewable.
  • Perpetual license: The license has no expiry date and includes updates with no time limit.

A.8 — Intellectual Property and License

Mosaic Plugin: Distributed under GNU GPL v2 license. See GitHub repository for details.

License Key: You acquire a personal, non-exclusive and non-transferable right to the license key. This key may not be:

  • Resold or rented
  • Transferred to a third party
  • Used on multiple domains simultaneously
  • Decompiled or reverse-engineered

SECTION B — SERVICE OFFERINGS

Custom services: development, studies, consulting, managed hosting, maintenance

B.1 — Purpose

This section governs the provision of custom service offerings. These may include, without limitation:

  • Web Development (Frontend, Backend, Full-stack)
  • Studies and Technical Consulting
  • Maintenance and Managed Hosting
  • Digital Marketing and Strategy
  • Any custom service agreed upon by mutual agreement

B.2 — Mandatory Quote and Special Conditions

Every custom service requires a prior quote.

The quote contains:

  • Detailed description of the service and deliverables
  • Delivery timelines
  • All-inclusive price and billing conditions
  • Special conditions specific to the service

Special conditions in the quote prevail over these T&C in case of conflict. These conditions are negotiated and accepted by both parties before signature.

B.3 — Signature and Commitment

Every service begins with signature of the quote or service contract.
Without signature, no contractual obligation exists.

B.4 — Payment

Payment terms are defined in the quote (deposit, balance, payment period).

Failure to pay on time may result in:

  • Immediate suspension of the service
  • Suspension of access to deliverables
  • Application of legal late fees

B.5 — Best Efforts vs. Result

Unless explicitly agreed otherwise in the quote:

  • Intellectual services (study, consulting, development) are provided on best efforts basis
  • We commit to implementing our professional skills, without guarantee of specific results
  • Result variations due to external factors (third-party technologies, existing architectures) are not our responsibility

B.6 — Liability

Our liability is limited to the amount of the service paid.

We disclaim all liability for:

  • Indirect damages (data loss, business interruption, lost profits)
  • Third-party failures (hosting providers, suppliers)
  • Modifications or degradations made after delivery without our involvement
  • Use of the deliverable outside the intended context

B.7 — Intellectual Property

Unless the quote specifies otherwise:

  • Deliverables developed specifically for you as a client are your property
  • Reusable components, libraries, templates or tools remain our property
  • All open-source code retains its original license

B.8 — Timelines

Timelines in the quote are estimates.
No penalties apply if exceeded, except by signed agreement.

Timelines may be impacted by:

  • Client modification requests
  • Validation/approval delays
  • External factors beyond our control

B.9 — Maintenance and Support

Post-delivery maintenance is only included if explicitly mentioned in the quote.

Support levels (responsiveness, SLA) are defined in special conditions.

B.10 — Limitation of Liability

Maximum liability: Our liability cannot exceed the all-inclusive amount of the service.

Excluded damages: We disclaim all liability for indirect damages (loss of revenue, lost profits, reputational harm).
